Service Agreement
This agreement is between the client business named below ("Client") and Siempre Contesta ("we", "us"), operated by [UNCONFIRMED: legal name and mailing address of the operating company].

1. The service
We provide a bilingual (English and Spanish) AI phone-answering service for Client's business line. When Client cannot answer, the call forwards to our assistant. The assistant answers, collects details, may transfer urgent calls to Client, may book appointments, and sends Client a summary by text or email. We also write Client's call script, connect a calendar if Client uses one, and test the forwarding at setup.
2. Term and cancellation
The agreement is month to month. Either side may end it at any time with written notice (email is enough). Cancellation takes effect at the end of the billing period already paid, unless Section 3 applies. A shop that chose a minimum commitment to receive a setup-fee waiver must complete that commitment, as shown in the Order terms.
3. 30-day money-back guarantee
If Client is not satisfied in the first 30 days, Client may cancel and we will refund the monthly fee paid for that period. Treatment of the setup fee is stated in the Order terms. We cannot refund charges from Client's own phone carrier or other third parties.
4. Fees, minutes, and taxes
Client pays the monthly fee in advance. Each plan includes the minutes shown in the Order terms. Minutes beyond that are charged at the extra-minute price shown. Prices are plus applicable Texas sales tax. Founding clients keep their monthly fee for 12 months after the start date. Late payment may lead to suspension under Section 13.
5. Call forwarding
Client keeps its own phone number and carrier account and is responsible for turning on, and keeping on, forwarding to the number we provide, and for any carrier charges. Forwarding can stop working silently. We test it daily during the service and tell Client if we find a problem, but we cannot guarantee that it will always work. Client should place a test call after any change to its phone plan or carrier.
6. AI and recording disclosure
The assistant tells every caller, in English and Spanish, that it is an automated assistant and that the call may be recorded. Client agrees that this greeting stays in place. Texas allows recording with the consent of one party, but callers may be located in places that require all parties to consent, so the greeting is required on every call. Client will not ask us to remove it.
7. Not an emergency service
The service is not a 911 service. The assistant is set up to try to transfer urgent calls and to send backup alerts, and callers in danger are told to call 911. We cannot guarantee that any transfer or alert will succeed. Client remains responsible for how it responds to its customers.
8. No guarantees
The service is provided on a reasonable-efforts basis. We do not guarantee uptime, that every call will be answered, understood, or recorded correctly, or any number of booked jobs or amount of revenue. AI speech tools can mishear names, numbers, and addresses. Client agrees to read its summaries promptly and to call back any customer whose details look wrong or incomplete.
9. Client responsibilities
Client will give us accurate information about its services, hours, service area, and urgent-call rules, and will tell us when they change. Client will not use the service for unlawful purposes, or to give legal, medical, or safety advice. Client is responsible for the work it performs for its own customers.
10. Data and confidentiality
Information collected from Client's callers belongs to Client. We use it only to provide the service. We use outside providers (such as the phone platform, carriers, and text and email delivery) who handle information to provide their part of the service. On request after the agreement ends, we will ask our providers to delete Client's call data. See our Privacy Policy.
11. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential losses, including lost profits, missed or lost jobs, damage to property, or harm that results from a missed, delayed, or mishandled call. Our total liability for any claim is limited to the fees Client paid us in the three months before the claim arose. Nothing in this agreement limits liability that the law does not allow to be limited.
12. Client's promises
Client is responsible for claims that arise from Client's own instructions, content, or unlawful use of the service.
13. Suspension and ending
We may suspend or end the service for non-payment, misuse, or if a provider we depend on stops offering what we need. We will try to give notice first, and will refund the unused part of any fee paid in advance if we end the service for reasons other than Client's breach.
14. Governing law
This agreement is governed by Texas law. Any dispute will be handled in the courts of Cameron County, Texas, unless the parties agree otherwise in writing.
15. The whole agreement
This agreement, with the Order terms, is the whole agreement. Changes must be in writing, and email counts. Electronic signatures are valid. If a Spanish version differs from the English version, the parties may rely on either; both are meant to say the same thing.
